These Terms of Service ("Terms") govern your access to and use of the PCBwise application, website, and related services (collectively, the "Service") operated by PCBwise, LLC ("PCBwise," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

PCBwise provides software tools intended to assist with electronics manufacturing workflows, data organization, quoting, and related operational tasks.

The Service is provided as a tool only. You are solely responsible for how you use any outputs, recommendations, or data generated by the Service.

2. Eligibility and Account Responsibility

You must be at least 18 years old to use the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information and to keep it up to date.

3. Ownership and Intellectual Property

Our IP

The Service, including all software, code, designs, workflows, features, and documentation, is owned by PCBwise or its licensors and is protected by intellectual property laws.

Nothing in these Terms transfers ownership of any PCBwise intellectual property to you.

Your Data

You retain ownership of any data, files, or information you upload to the Service ("User Content").

By using the Service, you grant PCBwise a non-exclusive, worldwide, royalty-free license to host, process, and use your User Content solely for the purpose of operating and improving the Service.

4. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

PCBWISE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, or suitable for your specific business needs.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PCBWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

PCBWISE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PCBWISE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

6. No Professional or Business Advice

The Service does not provide legal, financial, manufacturing, engineering, or compliance advice.

Any decisions you make based on information generated by the Service are made at your own risk. You are responsible for validating outputs before relying on them in production, procurement, or customer-facing activities.

7. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt to reverse engineer or copy the Service
  • Interfere with or disrupt the Service
  • Use the Service to infringe on the rights of others

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Fees and Subscriptions

Certain features may require payment. All fees are non-refundable unless otherwise stated.

We may change pricing with reasonable notice. Continued use after a pricing change constitutes acceptance of the new pricing.

9. Termination

You may stop using the Service at any time.

We may suspend or terminate your access at our discretion, including for violations of these Terms or if required by law.

Upon termination, your right to use the Service ends immediately.

10. Data Retention

Upon account termination, we will retain your data for a period of 30 days to allow for account recovery. After this period, your data will be permanently deleted unless retention is required by law or for legitimate business purposes (such as audit trails).

You may request export of your data prior to account termination.

11. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service.

Your continued use after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction in those courts.
